1. Acceptance of Terms

By accessing and using Rawxel ("Platform"), you accept and agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use the Platform.

2. Platform Description

Rawxel is a B2B raw materials trading platform that facilitates connections between buyers and sellers of industrial raw materials, chemicals, fertilizers, pharmaceuticals, and manufacturing components. The Platform provides marketplace functionality, auction capabilities, RFP management, and communication tools.

3. User Accounts and Registration

• Users must provide accurate, current, and complete information during registration
• Users are responsible for maintaining the confidentiality of their account credentials
• Users must notify Rawxel immediately of any unauthorized use of their account
• Rawxel reserves the right to suspend or terminate accounts that violate these terms
• Users must be authorized representatives of their companies to conduct business on the Platform

4. User Conduct

Users agree to:

• Use the Platform only for lawful business purposes
• Provide accurate product specifications and pricing information
• Honor commitments made through RFPs, bids, and purchase orders
• Not engage in fraudulent, deceptive, or misleading practices
• Not interfere with or disrupt the Platform's operations
• Comply with all applicable laws and regulations

5. Trading and Transactions

• All transactions are between buyers and sellers; Rawxel facilitates but is not party to transactions
• Users are responsible for verifying counterparty credentials and product quality
• Payment terms and delivery conditions are agreed upon between buyers and sellers
• Rawxel does not guarantee the quality, safety, or legality of products traded
• Users are responsible for applicable taxes, duties, and regulatory compliance

6. Auction Terms

• Bids placed during auctions are binding commitments
• Auction winners are obligated to complete the transaction
• Rawxel reserves the right to cancel auctions in case of suspected fraud or policy violations
• Bid increments and auction durations are set by sellers and displayed clearly

7. Intellectual Property

All content, trademarks, and intellectual property on the Platform are owned by Rawxel or its licensors. Users may not copy, modify, distribute, or create derivative works without explicit permission.

8. Fees and Payment

• Rawxel may charge subscription fees, transaction fees, or service fees
• Fee structures will be clearly communicated to users
• Fees are non-refundable except as required by law
• Rawxel reserves the right to modify fees with advance notice

9. Limitation of Liability

Rawxel provides the Platform "as is" without warranties. We are not liable for:

• Direct or indirect damages arising from Platform use
• Failed transactions between buyers and sellers
• Product quality, delivery issues, or payment disputes
• Data loss, system downtime, or security breaches
• Losses exceeding the fees paid to Rawxel in the preceding 12 months

10. Indemnification

Users agree to indemnify and hold Rawxel harmless from claims, damages, and expenses arising from their use of the Platform, violation of these terms, or infringement of third-party rights.

11. Dispute Resolution

• Disputes between users should be resolved directly between parties
• Rawxel may provide mediation assistance but is not obligated to do so
• Any disputes with Rawxel shall be resolved through binding arbitration
• Class action lawsuits are waived

12. Termination

Rawxel may suspend or terminate user accounts for violations of these terms, suspicious activity, or at its sole discretion. Upon termination, users must cease all use of the Platform.

13. Modifications

Rawxel reserves the right to modify these Terms and Conditions at any time. Users will be notified of significant changes, and continued use constitutes acceptance of modified terms.

14. Governing Law

These terms are governed by applicable international commercial law and the laws of the jurisdiction in which Rawxel operates. Any legal proceedings shall be conducted in the appropriate courts.
